Dealerlogix® Acceptable Use Policy

1. SUBMITTED CONTENT
   
   Customer agrees not to post any content on the DealerLogix website or submit any content through the DealerLogix Products and Services that:
   
   
   A.creates a risk of harm, loss, physical or mental injury, emotional distress, death, disability, disfigurement, or physical or mental illness to Customer or to any other person;
   
   B.may create a risk of any other loss or damage to any person or property;
   

   C.seeks to harm or exploit children by exposing them to inappropriate content, asking for personally identifiable details or otherwise;
   D.violates, or encourages any conduct that violates any applicable law, regulations, code, ordinance or other government requirement;
   E.contains any information or content DealerLogix deems to be hateful, violent, harmful, abusive, racially or ethnically offensive, defamatory, infringing, invasive of personal privacy or publicity rights, harassing, humiliating to other people (publicly or otherwise), libelous, threatening, profane, or otherwise objectionable;
   F.contains any information or content that is illegal (including, without limitation, the disclosure of insider information under securities law or of another party’s trade secrets);
   G.infringes any third party’s intellectual property rights, privacy rights, publicity rights, or other personal or proprietary rights;
   H.contains any information or content that Customer does not have a right to make available under any applicable law or other government requirement, or under any contractual or fiduciary relationship; or
   I.is fraudulent, false, misleading, or deceptive.
   


2. PROHIBITED ACTIVITIES
   
   Customer agree not to engage in any of the following prohibited activities:
   
   
   A.Use, display, mirror or frame the Dealergogix website or its Products or Services, any individual element within the website, Products or Services, the name, trademark, logo or other proprietary information of the company or any third party contained in the Dealerlogix website, or the design of any page within the web site, without Dealerlogix’s express written consent;
   B.Access, tamper with, or use non-public areas of the Dealerlogix Products and Services, computer systems, or the technical delivery systems of its providers;
   C.Attempt to probe, scan, or test the vulnerability of the Dealerlogix system or network or breach any security or authentication measures;
   D.Avoid, bypass, remove, deactivate, impair, descramble or otherwise circumvent any technological measure implemented by us or any of Dealerlogix providers or any other third party to protect the security or integrity of the Dealerlogix web site, Products and Services, content or any computer, system or information of any third party;
   E.Attempt to access or search the Dealerlogix website, Products and Services, or content or scrape or download content, or otherwise use, upload content to, or create new links or posts on the Dealerlogix website or in the Products and Services through the use of any engine, software, tool, agent, device or mechanism (including automated scripts, spiders, robots, crawlers, data mining tools or the like) other than the software and/or search agents provided by Dealerlogix or other generally available third party web browsers;
   F.Send any unsolicited or unauthorized spam and spam comments on posts, advertising messages, promotional materials, email, junk mail, chain letters or other form of solicitation;
   G.Use any trademark, logo, URL, or product name of the company or any third party contained on the website without the party’s express written consent;
   H.Use the Dealerlogix web site, Products and Services for any commercial purpose or the benefit of any third party, except as explicitly permitted by Dealerlogix or in any manner not permitted by the Agreement;
   I.Use any portion of the Dealerlogix website, Products and Services to send altered, deceptive or false source-identifying information;
   J.Attempt to decipher, decompile, disassemble or reverse engineer any of the software used to provide Dealerlogix Products and Services;
   K.Interfere with, or attempt to interfere with, the access of any user, host or network, including, without limitation, sending a virus, overloading, flooding, spamming, or mail-bombing the Dealerlogix website, Products and Services;
   L.Collect or store any personally identifiable information from the Services from other users of the Services without their express permission;

   M.Impersonate or misrepresent Customer affiliation with any person or entity;

   N.Violate any applicable law or regulation; or

   O.Encourage or enable any other individual to do any of the activities prohibited in this AUP.


3. DEALERLOGIX RIGHTS
   
   Dealerlogix reserves the right, but is not obligated, to remove any content for any reason or for no reason, including content that we believe violates this AUP or any other provisions of the Terms. We may also permanently or temporarily terminate or suspend a user account without notice and liability for any reason, including if, in our sole determination, the user violates any provision of this AUP or any other provisions of the Terms, or for no reason.
   
   
4. CHANGES
   
   Dealerlogix may change this AUP by posting a new version on its website. Customers are bound by the terms of the new version when it is posted.
